Terms of Service
Last updated: October 20, 2026
Welcome to SwiftEdit. These Terms of Service ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you", "Client", or "Editor"), and SwiftEdit ("we", "us", or "our"), concerning your access to and use of our platform, automated workflow, and video production drop-servicing infrastructure. By creating an account, accessing the platform, or submitting any media files, you acknowledge that you have read, understood, and agreed to be bound by these Terms in full. If you do not agree with all of these Terms, you are expressly prohibited from using our services and must discontinue use immediately.
1. Nature of the Service and Platform Architecture
SwiftEdit operates a managed, structured marketplace (Dropservicing agency) and production ecosystem that connects global Clients with vetted, independent video editing professionals ("Editors").
- The Workflow - Clients submit video production requests by selecting specific video formats and delivery packages ("Tiers").
- Production and Delivery - All intermediate production reviews are rendered through our secure, web-based interactive Video Viewer. Final high-resolution, unwatermarked source files are strictly locked within our cloud infrastructure until formal project finalization.
2. Eligibility, Accounts, and Security
- Age and Capacity - You must be at least eighteen (18) years of age or the age of legal majority in your jurisdiction to register an account. By creating an account, you represent and warrant that you possess the legal capacity to enter into a binding contract.
- Account Veracity - Users must provide accurate, current, and complete corporate or personal information during registration.
- Editor Verification - Editor accounts are subject to an independent portfolio review and skills evaluation. SwiftEdit reserves the absolute right to approve, reject, or terminate any user profile at our sole discretion, without prior notice, in the event of fraud, platform policy breaches, or behavior detrimental to the ecosystem.
3. Financial Terms, Pricing Tiers, and Auto-Renewals
- Payment Processing - All payment processing, subscription management, and escrow routing are securely handled by our third-party provider, Stripe.
- One-Time Packages - Purchased single-video packages grant the Client a set amount of editing credits mapped to a specific dynamic Tier.
- Retainer and Subscription Bundles - Subscription plans are billed on a recurring monthly or quarterly (3-month) cycle depending on the Client's selection. Subscriptions automatically renew at the end of each billing period under the same terms unless explicitly canceled by the Client directly within their dashboard settings prior to the renewal date.
- Tax Compliance - Clients are responsible for any applicable local sales taxes, digital service fees, or cross-border transaction tariffs imposed by their respective financial institutions or countries of origin.
4. Turnaround Times and Strict Raw Footage Tier Restrictions
- Turnaround Estimates - Delivery windows (24-48 hours for Short-form/Reels, 2-3 days for Standard, and 3-5 days for Medium/Long-form) are operational targets and apply strictly once an Editor has officially claimed the project and all necessary assets are provided. Priority FIFO (First-In, First-Out) routing is exclusively reserved for active Retainer subscribers.
- Footage Constraints and File Size Limits - Every project Tier is bound by strict file size limits and duration constraints:
- Short-form Preview: Max 80MB.
- Short Preview: Max 220MB.
- Medium Preview: Max 420MB.
- Long Preview: Max 640MB.
- Final High-Resolution Deliverable: Max 2.5GB across all tiers.
- Mandatory Tier Adjustments (Upselling) - If an Editor flags that a Client's raw footage duration or file size exceeds the boundaries of the purchased package, the project will be frozen instantly. Production will only resume once the Client clears a custom Stripe adjustment invoice for the price difference. SwiftEdit is not liable for turnaround delays caused by pending Tier adjustments.
5. Revision Mechanics, Escrow Release, and Automated Inactivity Approval
- Interactive Review Process - While a project is active, the Client is entitled to request iterations by placing precise, timestamped comments or interval markers directly on the watermarked preview player.
- The Non-Return Point (Project Approval) - Clicking the "Approve & Release Project" button triggers an unalterable system action: the watermark is stripped, high-resolution source file downloads are unlocked, and funds are cleared for Editor distribution. No revisions can be requested after a project is approved.
- The Automated Inactivity Trap (Gatilho de Inatividade) - To safeguard the livelihood of our Editors, if an Editor submits a revised video cut and the Client fails to request changes or interact with the platform for a consecutive window of seventy-two (72) hours, the platform will execute an Automated Inactivity Approval. The project will close, high-resolution file access will be unlocked, and the workflow will be marked as finalized.
6. Intellectual Property, Assets, and Media Licenses
- Client Raw Assets - The Client retains full, absolute ownership of all raw footage, logos, trademarks, and brand assets uploaded to the platform. By uploading content, the Client grants SwiftEdit and its assigned Editors a temporary, worldwide, royalty-free license to use, host, cut, and manipulate the media solely for the purpose of executing the project.
- Finished Product License - Upon final project approval (either manual or via automated inactivity triggers), and subject to full clearance of all Stripe fees, the Client receives an exclusive, perpetual, worldwide, unrevocable license to use, distribute, and monetize the final edited video for any commercial or non-commercial purpose.
- Portfolio Right - SwiftEdit may display short, anonymized excerpts of finished cuts strictly for internal marketing and case studies, only if the Client explicitly grants written opt-in consent.
7. Anti-Poaching and Client-Editor Isolation Enforcements
- Strict Disintermediation Ban - SwiftEdit maintains a sophisticated Anti-Poaching Client Isolation System to protect its digital operational network. Clients and Editors are strictly prohibited from sharing personal external contact information (including but not limited to WhatsApp, Telegram, Discord, personal emails, or social media handles) or soliciting work directly outside the platform.
- The 6-Month Blackout Window - Both parties agree not to engage in independent business relationships outside of SwiftEdit for a minimum period of six (6) months following their last project interaction on our infrastructure.
- Contractual Penalties - Any attempted bypass or out-of-platform negotiation detected by our system or reported by an Editor will result in the permanent termination of all involved accounts without a refund, and SwiftEdit reserves the right to pursue full legal damages for lost platform commissions.
8. Prohibited Content and Content Guidelines
Users represent and warrant that their video assets do not contain material that:
- Infringes upon any third-party intellectual property, copyright, or privacy rights.
- Promotes explicit illegal acts, severe hate speech, or dangerous discriminatory practices.
- Involves minors in any harmful, exploitative, or legally inappropriate context.
SwiftEdit and its Editors reserve the right to decline any project containing prohibited material instantly. No refunds will be issued for projects cancelled due to a violation of our content guidelines.
9. Limitation of Liability and Indemnification
- Service Availability - SwiftEdit provides its software-as-a-service on an "as-is" and "as-available" basis. We do not guarantee uninterrupted, error-free operations, nor are we liable for network latency caused by third-party cloud infrastructure (such as Cloudflare or Supabase).
- Cap on Liability - To the maximum extent permitted by applicable consumer law, SwiftEdit's cumulative financial liability for any claim arising from these Terms is strictly capped at the total amount paid by the Client to the platform during the three (3) months immediately preceding the event that gave rise to the liability.
10. Governing Law, International Trade, and Dispute Resolution
- Cross-Border Scope - These Terms are governed by international commercial principles alongside localized frameworks such as the Brazilian Consumer Protection Code (CDC) and applicable US federal business guidelines.
- Jurisdiction - Any dispute, controversy, or legal claim arising out of or relating to this platform that cannot be settled amicably will be submitted to the exclusive jurisdiction of the competent courts of Belo Horizonte, MG, Brazil, or resolved via internationally recognized digital arbitration frameworks chosen by SwiftEdit.
